Terms of Service

1. Introduction

By registering for or using Seika ("the Service", "the Platform"), you agree to be bound by these Terms of Service. Please read them carefully. If you do not agree to these terms, you must stop using the Service immediately.

2. Nature of Service

Seika is an email automation platform that integrates with Stripe to trigger emails based on payment events (e.g., failed payments, new subscriptions, cancellations) and tracks conversion ROI. By using Seika, you acknowledge that:

  • You are responsible for the content of the emails you send.
  • You are responsible for maintaining your own Stripe account in good standing.
  • Seika is a technical facilitator and not a party to the transactions between you and your customers.

3. Account Registration and Security

To access Seika, you must register for an account via Firebase Authentication. You agree to:

  • Provide accurate and current information.
  • Maintain the security of your login credentials.
  • Accept responsibility for all activities that occur under your account.
  • Notify us immediately of any unauthorized use of your account.

4. Stripe Integration & Data

Your use of Seika requires an active connection to a Stripe account.

  • Authorization: You grant Seika permission to access your Stripe data (Webhooks, Customer Data, Invoices) solely for the purpose of providing our automation and analytics services.
  • Independence: Seika is an independent service provider and is not affiliated with Stripe. We are not responsible for any actions taken by Stripe against your account (e.g., bans, freezes, or limits).

5. Email Usage and Anti-Spam Policy

Seika has a zero-tolerance policy for spam. You agree to use the Service in full compliance with the CAN-SPAM Act, GDPR, and other applicable laws.

  • Consent: You must have obtained explicit permission (opt-in) from recipients before sending them marketing emails.
  • Prohibited Content: You may not send emails containing phishing scams, malware, illegal goods, pornography, or hate speech.
  • Unsubscribe Links: All marketing emails sent via Seika must include a functioning unsubscribe link.
  • Suspension: We reserve the right to suspend your account immediately if we detect abnormal bounce rates, high spam complaint rates, or blacklisting of our sending IPs caused by your activity.

6. Subscriptions and Billing

  • Fees: Seika acts as a SaaS provider. You agree to pay the subscription fees associated with your chosen plan.
  • Payments: Payments are processed securely via Stripe.
  • Refunds: Services are billed in advance on a monthly or annual basis and are non-refundable, including if you choose to cancel your account mid-cycle, unless otherwise required by law.
  • Price Changes: We reserve the right to modify our pricing with 30 days' notice.

7. ROI Tracking and Analytics Disclaimer

Seika provides analytics regarding "Revenue," "Conversions," and "ROI" based on data received from Stripe and user interactions.

  • Estimates Only: While we strive for accuracy, these metrics are estimates based on attribution models (e.g., tracking pixels, link clicks).
  • No Guarantee: Seika does not guarantee that the reported ROI perfectly reflects your actual accounting data. We are not liable for business decisions made based on these analytics.

8. Intellectual Property

  • Our IP: The Seika platform, code, design, and logos are owned by us and protected by intellectual property laws.
  • Your IP: You retain ownership of the email content, templates, and customer data you upload or generate within Seika.

9. Third-Party Tools

Seika utilizes third-party tools, including Unlayer for email editing and Firebase for data storage. Your use of the email editor is subject to acceptable use policies inherent to the technology provider. We are not responsible for temporary outages caused by these third-party providers.

10. Limitation of Liability

To the maximum extent permitted by law, Seika shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from:

  • Your use or inability to use the Service.
  • Unauthorized access to or use of our servers and/or any personal information stored therein.
  • Any interruption or cessation of transmission to or from the Service.
  • Any bugs, viruses, or trojan horses transmitted through the Service by any third party.

11. Termination

We may terminate or suspend your access to Seika immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will cease immediately.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Seika operates, without regard to its conflict of law provisions.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
